Our corporate law services include the formation of companies under Brazilian or foreign control and amendments to their corporate documents; advice on corporate reorganisations, such as consolidations, spin-offs, mergers by absorption, changes of corporate form and company liquidations; negotiation and drafting of shareholders’ agreements, consortium and joint venture agreements, and other investment and association agreements; design and preparation of corporate governance structures; responses to queries and preparation of legal opinions on business law matters; development and implementation of arrangements for asset structuring and protection; and negotiation, drafting and review of commercial contracts in general.
The Firm also advises clients on their participation in shareholders’ and quotaholders’ meetings and meetings of corporate management and supervisory bodies; on foreign investments in Brazil and Brazilian investments abroad, inflows and outflows of funds and assets, profit remittances and capital repatriation; and on representation before company registries and regulatory authorities, including the Central Bank of Brazil. We take an interdisciplinary approach to preventing and mitigating corporate disputes and, where necessary, defending the interests of majority or minority equity holders, whether controlling or non-controlling, in relation to other stakeholders.
